ARTICLE 1 - Membership
Sec. 1 - Any active member of an organized Fire Department, whether the same be paid or volunteer, shall upon the payment of dues as prescribed by the by-laws of this Association, qualify as a member of this Association. A participating department shall be any organized department whether the same is paid or volunteer, having five or more active persons who are members of this association.
Sec. 2 - Any person having demonstrated a sincere interest, dedication and efforts to further the interest of the fire service of Wake County and after being approved by the Board, and after receiving a favorable vote of the membership as permitted under Article 5, Sec. 4, shall become an honorary member of the Association. Honorary membership shall not require any dues.
Sec. 3 - Any active member or employee of a fire service organization other than an organized department (above), whether the same be paid or volunteer, shall upon the payment of dues as prescribed by the by-laws of this Association. qualify as an Associate Member of this Association. Each fire service organization must be approved by the Board and the membership as permitted under Article 5, Sec. 4, prior to any of its members/employees being allowed membership in the Association.
Sec. 4 - The term of regular membership in this Association shall be one year, commencing at the February meeting each year. New members may be admitted, however, at any time during the year upon compliance with the by-laws of the Association.
ARTICLE 2 - Board of Directors
Sec. 1 - The Board of Directors, herein after called the Board will consist of the Chief of each participating department.
Sec. 2 - The Board shall have the duty, power and authority to direct the management of the business of the Association, and may adopt such rules and regulations as it shall deem proper and consistent with the law, the Charter, and the by-laws of the Association.
Sec. 3 - The Board shall meet from time to time at such place or places as may be necessary for the proper and effective management and control of said Association upon a call or notice from the President, a Vice President, the Secretary or any five members of the Board, provided that written notice be sent to every member of the Board at the last known mailing address of such member not less than one week prior to such meeting.
ARTICLE 3 - Dues
Sec. 1 - The monies necessary to further the objects and purposes of this Association may be raised by an assessment of dues against each member in an amount to be fixed and determined by the Board once a year at the commencement of each fiscal year, the payment of such dues as are determined and assessed also being a prerequisite to membership in the Association.
Sec. 2 - Departments that fail to pay their members dues to the Treasurer within thirty (30) days after the February meeting, shall be notified by the Treasurer by mail. If payment is not received from said Department before the next meeting of the Board, occurring more than seven (7) days after the mailing of such notice, the Treasurer shall report this fact to the Board. Delinquent department members may be dropped from the rolls of the membership of the Association and thereupon forfeit all rights, title and privileges of membership.
ARTICLE 4 - Meeting of Members
Sec. 1 - The regular meetings of the members of the Association shall be scheduled on the second Tuesday of February, May, August and November of each year at such places and times as may be determined by the Board.
Sec. 2 - The regular meeting held each year during the month of November shall be and constitute the annual meeting of the Association.
Sec. 3 - Special meetings of the members shall be held upon the call from a majority of the Board at such time and place as may be fixed and stated in the call of notice.
Sec. 4 - Notice of the time and place of every meeting of the membership shall be given in writing by the Secretary at least one week prior to the date of such meeting.
ARTICLE 5 - Delegates
Sec. 1 - The Chief and one Assistant Chief of every participating department or their authorized alternate shall be voting delegates in this Association. In addition to which, each participating department shall have the right to designate, in any manner or fashion it may deem best, two additional delegates in this Association. Authorized alternates may be substituted for these two additional voting delegates. No person shall be a delegate in this Association who is not a bona fide member of this Association in good standing.
Sec. 2 - Each delegate shall have one vote.
Sec. 3 - Any motion presented to the Association members for consideration during any regular meeting of the Association shall be enacted only upon a unanimous vote of the members present. If the vote on any motion is not unanimous, or if the motion is presented during a special meeting, the motion shall be decided by a majority vote of the delegates present as specified in Section 1 of this article.
ARTICLE 6 - Officers
Sec. 1 - The Nominating Committee shall, at the annual meeting each year, recommend a slate of nominations from the membership of the Association for the offices of President, First Vice President, Second Vice President, a Treasurer and a Secretary. Further nominations may be made from the floor at such annual meeting. The delegates shall, at the annual meeting of the Association, elect from the membership of the Association a President, First Vice President, Second Vice President, a Treasurer and a Secretary.
Sec. 2 - The President shall be the chief executive officer and presiding officer of the Association and of the Board and shall be charged with the duty and be authorized and empowered to do any and all acts necessary and incidental to such officer; and with the approval of the Board he/she shall further be authorized and empowered to employ, on behalf of the Association, such technical, legal and professional assistance and personnel for such purposes as he/she may deem in the best interests of said Association.
Sec. 3 - The First Vice President shall be the principal assistant to the President and shall, in the absence of the President, perform all duties of the President, and shall, in the case of death, resignation, or other disability of the President, succeed to the office of the President.
Sec. 4 - The Second Vice President shall perform such duty or duties as may be assigned to him/her from time to time by the President, shall in the absence of the First Vice President, perform all the duties of the First Vice President, and shall in the case of the death, resignation or other disability of the First Vice President, succeed to the office of First Vice President.
Sec. 5 - The Secretary shall keep a complete record of all meetings of the Association and of the Board, and shall have general charge and supervision of the books and records of the Association. He/She shall sign all papers with the President and such other papers pertaining to the Association as he/she may be authorized and directed by the Board. He/She shall serve all notices required by law and by these by-laws, and shall make a full report of all matters and business pertaining to his/her office to the members at the annual meeting. He/She shall make all reports required by him/her by the Association and the Board. Upon the election of his/her successor, the Secretary shall turn over to him/her all books and other property belonging to the Association as he/she may have in his/her possession.
Sec. 6 - The Treasurer shall perform all duties with respect to the finances of the corporation as may be prescribed by the Board.
All officers shall be elected for one year commencing at the adjournment of the November meeting.
ARTICLE 7 - Committees
Sec. 1 - The President may, with the advice and assistance of the Board, appoint the following committees and any others as deemed necessary:
(a) Chaplain and Associate (b) Nominating Committee (c) Education and Training Committee (d) Publicity Committee (e) By-Laws and Legislative Committee (f) Projects Committee (g) Social Committee (h) Program Committee
Sec. 2 - The number of members to be appointed to the committees specified in Section 1 shall be at the discretion of the President.
ARTICLE 8 - Seal
Sec. 1 - The Association shall have a corporate seal with the name of the Association inscribed thereon and such other appropriate legend as the Board may determine.
ARTICLE 9 - By-Laws
Sec. 1 - The by-laws of the corporation may be amended, altered, supplemented, or repaired at any meeting of the Association by a two-thirds majority of the delegates present, provided that notice of the proposed change or changes is given at least thirty (30) days in advance of the meeting, in writing to every participating department.
We, the undersigned, all being members of the Wake County Firefighters Association, Inc., do hereby assent to this revised edition of the by-laws, certifying that they were duly voted on and approved and do adopt the same as the by-laws of this corporation, having hereunto set our hands on this 8 day of August, 2000.
